By accessing, registering for, logging into, or using the Service, you confirm that you have read and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.
"Operator" means the entity listed above. "Service" means the TacticSlate tactical-board and animation platform, including the Website (www.tacticslate.com) and related apps. "User" or "you" means the individual or organization using the Service. "User Content" means any content you create, upload, or share via the Service (e.g., boards, animations, assets, comments). "Subscription" means a paid plan with recurring fees. If you use the Service on behalf of an organization, you represent you have authority to bind it.
Keep credentials confidential; you are responsible for activity under your account. Do not share login details except as permitted by seat-based licenses. Promptly notify us of unauthorized use.
The Service lets you create, edit, present, collaborate on, and export tactical boards and animations. We may enhance, modify, or discontinue features, including beta/experimental releases. The Service is local-first: certain data is stored in your browser (e.g., IndexedDB) for offline use. Clearing browser data, using private browsing, changing devices, or storage policies may result in data loss; use export/backup features to preserve content. Cloud features may require additional setup.
Certain features require a paid Subscription (e.g., Pro). Prices, entitlements, and billing periods are shown at checkout and may be subject to taxes. Subscriptions automatically renew until canceled. You may cancel at any time; access continues through the current billing period. Unless required by law or stated otherwise, fees are non-refundable. Trials, if offered, convert to paid unless canceled before the trial ends. Payment processing is provided by third parties (e.g., Stripe). Payment failures or chargebacks may result in suspension or downgrade.
You agree not to: (a) upload or share unlawful, infringing, defamatory, harassing, hateful, or harmful content; (b) violate others’ IP or publicity rights (e.g., unauthorized club logos, broadcast footage); (c) bypass authentication, probe or disrupt the Service, or access non-public areas; (d) scrape or automate beyond documented rate limits or in ways that collect non-public data; (e) reverse engineer; (f) misuse our marks or present false endorsement; (g) use the Service for high-risk or prohibited purposes. We may remove content, restrict features, or suspend/terminate accounts upon reasonable suspicion of violations.
We and our licensors own the Service and related software, technology, designs, trademarks, and brand features. Except as permitted by law or our written permission, you may not copy, modify, distribute, or create derivative works of our materials. No implied licenses are granted.
The Service may integrate third-party identity, payment, storage, analytics, or other services. Those services are provided by their respective providers and governed by their terms and privacy policies. The Service may include open-source components subject to their licenses.
We may suspend, limit, or terminate your access for reasons including serious or repeated violations, fraud or risk, non-payment, legal requirements, security threats, or prolonged inactivity. Where reasonable, we will provide notice and an opportunity to appeal. If termination is due to your breach, fees are non-refundable. Upon termination, your access ends and we will handle your data per our Privacy Policy and Section 11.
You retain ownership of your User Content. You grant us a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, display, and create limited adaptations of your User Content as needed to provide, secure, and improve the Service (e.g., caching, backups, thumbnails/previews, transcoding for exports, sharing to authorized recipients). For content shared via public or access-controlled links, you authorize us to display it consistent with your settings. You represent you have necessary rights to your content and that it does not violate law or third-party rights. You may submit feedback; we may use it without obligation. For IP complaints (e.g., DMCA), contact us at the email above with sufficient details.
Export features (e.g., JSON, PNG, PDF, WebM) may be available subject to limits (resolution, duration, quotas, or plan). Offline/local-first data is stored in your browser (e.g., IndexedDB); you are responsible for backups. Clearing browser data, using private sessions, device loss, or storage policies may permanently delete local data.
We take reasonable measures to safeguard the Service but do not guarantee absolute security. Do not test or probe the Service beyond a good-faith, non-destructive manner. Report vulnerabilities to the contact email; do not access data that isn’t yours, and give us reasonable time to remediate.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, or that content will be preserved without loss. Tactical analysis features are informational tools only and not professional advice.
We are not liable for any direct, indirect, incidental, special, punitive, or consequential damages, or loss of profits, revenues, data, or goodwill. We are not liable for any losses arising from your use of the Website, including but not limited to losses resulting from service interruption.
You will defend, indemnify, and hold us harmless from third-party claims and costs (including reasonable attorneys’ fees) arising from your unlawful use of the Service, your violation of these Terms, or your User Content, to the extent permitted by law.
We may update these Terms from time to time. Your signing in to or using the Service after the Effective Date constitutes your acceptance.
Entire Agreement; Order of Precedence (order/checkout terms prevail over these Terms to the extent of conflict for that purchase); Severability; No Waiver; Assignment (we may assign in connection with a merger, acquisition, or asset transfer); Force Majeure; Notices (email or in-product).
